Terms of Use

For purposes of this CIAL D&B Services Site, “CIAL D&B” means CIAL D&B Services, its subsidiaries, affiliates, divisions, contractors and all of its and their data sources and suppliers.

The services, including, but not limited to, data and programs, available on or through the CIAL D&B Services Site (“Service”)  are the proprietary, copyrighted works of CIAL D&B Services and comprise: (i) works of original authorship, including compiled information containing CIAL D&B Services’ selection, arrangement and coordination and expression of such information or pre-existing material it has created, gathered or assembled; and (ii) trade secret and other confidential information.

You agree not to reproduce, retransmit, distribute, disseminate, sell, publish, broadcast, or circulate the information received through the Service to anyone without the express prior written consent of CIAL D&B Services. Copying and distributing the Services to third parties is forbidden. You may not: (a) use or permit the use of the Service to prepare an original database or a comparison to other databases that are sold, rented, published, or furnished in any manner to a third party; (b) use or permit the use of the Service for the purpose of compiling, enhancing, verifying, supplementing, adding to, or deleting from any mailing list, business directory, or other compilation of information that is sold, rented, published, or furnished in any manner to a third party; (c) use or permit the use of the information in connection with any individual credit, employment, or insurance applications; or (d) voluntarily producing the Service in legal proceedings. Systematic access or extraction of content from this CIAL D&B Services Site, including the use of “bots” or “spiders,” is prohibited. CIAL D&B Services prohibits caching, unauthorized hypertext links to this CIAL D&B Services Site and the framing of any content available through the CIAL D&B Services Site. CIAL D&B Services reserves the right to disable any unauthorized links or frames.

THE CIAL D&B SERVICES SITE MAY PROVIDE A LINK TO OTHER WEBSITES BY ALLOWING THE USER TO LEAVE THE D&B SITE TO ACCESS THIRD-PARTY MATERIAL OR BY BRINGING THE THIRD-PARTY MATERIAL INTO THIS D&B SITE VIA “INVERSE” HYPERLINKS AND FRAMING TECHNOLOGY (A “LINKED SITE”). CIAL D&B SERVICES HAS NO DISCRETION OR OBLIGATION TO ALTER, UPDATE, OR CONTROL THE CONTENT ON A LINKED SITE.

CIAL D&B Services does not warrant the accuracy, completeness or timeliness of any of the Services. ALL SERVICES ON THIS CIAL D&B Services Site, OR A LINKED SITE, ARE PROVIDED ON AN “AS IS,” “AS AVAILABLE” BASIS. D&B DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF ACCURACY, COMPLETENESS, CURRENTNESS, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.  CIAL D&B SERVICES DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. CIAL D&B SERVICES WILL NOT BE LIABLE FOR ANY LOSS OR INJURY ARISING OUT OF, IN WHOLE OR IN PART, CIAL D&B SERVICES’ CONDUCT IN PROCURING, COMPILING, COLLECTING, INTERPRETING, REPORTING OR DELIVERING SERVICES. CIAL D&B SERVICES WILL NOT BE LIABLE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR OTHERWISE, FOR ANY DIRECT, PUNITIVE, SPECIAL, CONSEQUENTIAL, INCIDENTAL OR INDIRECT DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, COST OF PROCURING SUBSTITUTE SERVICE OR LOST OPPORTUNITY) ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE CIAL D&B SEVICE SITE OR A LINKED SITE, OR WITH THE DELAY OR INABILITY TO USE THE CIAL D&B SERVICES SITE OR A LINKED SITE, EVEN IF CIAL D&B SERVICES IS MADE AWARE OF THE POSSIBILITY OF SUCH DAMAGES. THIS LIMITATION ON LIABILITY INCLUDES, BUT IS NOT LIMITED TO, THE TRANSMISSION OF ANY VIRUSES WHICH MAY INFECT A USER’S EQUIPMENT, FAILURE OF MECHANICAL OR ELECTRONIC EQUIPMENT OR COMMUNICATION LINES, TELEPHONE OR OTHER INTERCONNECT PROBLEMS (e.g., YOU CANNOT ACCESS YOUR INTERNET SERVICE PROVIDER), UNAUTHORIZED ACCESS, THEFT, OPERATOR ERRORS, STRIKES OR OTHER LABOR PROBLEMS OR ANY FORCE MAJEURE.

User acknowledges and agrees that by providing CIAL D&B Services with any personal or proprietary user information through the CIAL D&B Services Site, user consents to the transmission of such personal or proprietary user information over international borders as necessary for processing in accordance with CIAL D&B Services standard business practices.  User should be aware that Linked Sites may contain transmission of personal data provisions that differ from the provisions provided herein. CIAL D&B Services is not responsible for such provisions, and expressly disclaims any and all liability related to such provisions.

By posting your content you are granting CIAL D&B Services a non-exclusive, royalty-free, perpetual, and worldwide license to use your content in connection with the operation of the Services, including, without limitation, the license rights to copy, distribute, transmit, publicly display, publicly perform, reproduce, edit, translate and reformat your content, and/or to incorporate it into a collective work.

You grant CIAL D&B Services permission to use your name for attribution purposes. You, likewise, agree to represent yourself accurately. You acknowledge that misrepresentation may lead CIAL D&B Services, at its sole discretion, to cancel your use of the Services and delete any of your content.

You will not upload, post or otherwise transmit any Content that: (a) is unlawful, harmful, threatening, abusive, harassing, tortuous, defamatory, vulgar, obscene, pornographic, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise objectionable; (b) harm minors in any way; (c) impersonate any person or entity, including, but not limited to, a CIAL D&B Services official, forum leader, guide, moderator or host, or falsely state or otherwise misrepresent your affiliation with a person or entity; (d) upload, post or otherwise transmit any content that you do not have a right to transmit under any law or under contractual or fiduciary relationships (such as inside information, proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements); (e) upload, post or otherwise transmit any content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party; (f) upload, post or otherwise transmit any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment; (h) intentionally or unintentionally violate any applicable local, state, national or international law; (i) “stalk” or otherwise harass another; (j) promote or provide instructional information about illegal activities, promote physical harm or injury against any group or individual, or promote any act of cruelty to animals.

You may not use the CIAL D&B Services name to endorse or promote any product, opinion, cause or political candidate. Representation of your personal opinions as endorsed by CIAL D&B Services is strictly prohibited.

By posting content to any blog, you warrant that you either own or otherwise control all of the rights to that content, including, without limitation, all the rights necessary for you to provide, post, upload, input or submit the content, or that your use of the content is a protected fair use. You agree that you will not knowingly and with intent to defraud provide material and misleading false information. You warrant also that the content you supply does not violate these Terms, and that you will indemnify and hold CIAL D&B Services harmless for any and all claims resulting from content you supply.

You acknowledge that CIAL D&B Services does not pre-screen or regularly review posted content, but that it shall have the right to remove in its sole discretion any content that it considers to violate these Terms of Use.

Notices to Dun & Bradstreet regarding any alleged copyright infringement on the Site should be directed to  privacy@cialdnb.com.

You will be responsible for the content of any material you enter on the CIAL D&B Services Site. CIAL D&B Services retains the right, which it may or may not exercise in its sole discretion, to review, edit or delete any material that CIAL D&B Services deems to be illegal, offensive or otherwise inappropriate.

CIAL D&B Services, the CIAL D&B Services logo, logos of CIAL D&B Services affiliates and subsidiaries, and the names and content of Dun & Bradstreet products referenced in a CIAL D&B Services Site are either trademarks, service marks, registered trademarks, copyrights or other intellectual property of CIAL D&B Services or Dun & Bradstreet or its affiliates (“D&B IP”). Other products and company names mentioned in a CIAL D&B Services Site may be the intellectual property of their respective owners. You may not use any CIAL D&B Services IP without the consent of CIAL D&B Services. Except as noted above, you are not conveyed any right or license by implication, estoppel, or otherwise in or under any CIAL D&B Services IP or the intellectual property of any third party.

Access to and use of password protected and/or secure areas of this CIAL D&B Services Site is restricted to authorized users only. Unauthorized individuals attempting to access these areas of the CIAL D&B Services Site may be subject to prosecution.

CIAL D&B Services has the right to amend these Terms of Use at any time and without notice to you.  Such amendments shall be effective immediately upon posting. You agree to review the CIAL D&B Services Site periodically to be aware of any such amendments. Your continued use of a CIAL D&B Services Site after such amendments have been made shall constitute acceptance of the amendments.

No part of the CIAL D&B Services Site may be reproduced, modified, or distributed in any form or manner without the prior written permission of CIAL D&B Services; provided no such permission is necessary in connection with the fair use of excerpts of freely available (i.e., available to any visitor to the CIAL D&B Services Site without any requirement of registration or payment of fees) factual information on the CIAL D&B Services Site regarding descriptions of CIAL D&B Services and its products and services.
